Terms of Service

1. Definitions

• "Service" means the HumblSuite platform, including websites, applications, and related services.
• "Customer" or "You" means the business or individual subscribing to HumblSuite.
• "End User" means your clients, students, or visitors who interact with your HumblSuite-powered website.
• "Customer Data" means all data you or your End Users input into the Service.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as needed.

3. Services & Features

3.1 Service Description

HumblSuite provides business management tools for service businesses, including:

• Website hosting and management
• Client/student management (CRM)
• Scheduling and booking
• Payment processing
• Email communications

3.2 Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance with advance notice when possible.

3.3 Modifications

We may modify, update, or discontinue features with reasonable notice. Material changes will be communicated via email.

4. Pricing & Payment

4.1 Subscription Plans

HumblSuite offers tiered subscription plans. Current pricing is available at humblsuite.ca/#pricing.

4.2 Flat Pricing

We charge a flat monthly fee. We do not charge per-client or per-student fees.

4.3 Payment Processing

Payments are processed through our third-party payment providers (e.g., Stripe). You authorize recurring monthly charges. Standard payment processing fees apply separately when you accept payments from your clients.

4.4 Refunds

We do not provide refunds for partial months. If you cancel, you retain access until the end of your billing period.

5. Your Data

5.1 Data Ownership

You retain all rights to your Customer Data. We do not claim ownership of your content.

5.2 License Grant

You grant us a limited license to use, store, and process your data solely to provide the Service.

5.3 Data Export

You may export your data at any time in standard formats (CSV, JSON).

5.4 Data Security

We implement industry-standard security measures to protect your data. See our Privacy Policy for details.

6. Acceptable Use

You agree NOT to:

• Use the Service for illegal purposes
• Transmit malware, spam, or harmful content
• Attempt to gain unauthorized access to our systems
• Impersonate others or misrepresent your identity
• Resell access to the Service without authorization
• Use the Service in ways that could harm minors
• Violate intellectual property rights of others
• Interfere with or disrupt the Service

7. Minor/Student Data

If you use HumblSuite to manage data about minors (individuals under 18):

• You are responsible for obtaining appropriate parental/guardian consent
• You warrant you have legal authority to collect and store such data
• You will comply with applicable child privacy laws
• You will not upload photos of minors without appropriate consent

8. Intellectual Property

8.1 Our Property

HumblSuite, including its code, design, logos, and documentation, is owned by Humbl Technologies Inc. and protected by intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.

8.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

9. Third-Party Services

HumblSuite relies on trusted third-party services to operate, including providers for:

• Payment processing (e.g., Stripe)
• Database and authentication
• Website hosting and content delivery
• Email delivery

Your use of these services is subject to their respective terms. We may change service providers at our discretion to improve the Service.

10. Termination

10.1 By You

You may cancel your subscription at any time. Access continues until the end of your billing period.

10.2 By Us

We may terminate your access if you violate these Terms, fail to pay, or engage in harmful conduct.

10.3 Effect of Termination

Upon termination, you will have the opportunity to export your data. After a reasonable period, your data will be deleted from our active systems. See our Privacy Policy for details on data retention.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMBL TECHNOLOGIES INC.'S LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING ANY CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

13. Indemnification

You agree to indemnify and hold harmless Humbl Technologies Inc. from claims arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of any rights of another.

14. Governing Law

These Terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved in the courts of British Columbia.

15. Changes to Terms

We may update these Terms with 30 days notice via email. Continued use after changes constitutes acceptance.
